1. Terms of Service

The terms of service outlined herein (the “Terms of Service”) govern your access to and utilization of the Endocreators websites and mobile applications, including all content, functionalities, and services available on or through www.endocreators.com  or the Endocreators mobile application (the “Site”). These services are provided by Endocreators Consult Ltd., located at 2 Kayode Oke St., Isheri Oshun, Lagos, Nigeria, with registration number RC 1332738, along with its subsidiary accounts, Creatorsmart.net and Endotutors.com, as applicable. For these terms, Endocreators Consult Ltd. and its subsidiaries will collectively be referred to as “Endocreators,” while “we” or “us” pertains to the same entity. The term “you” or “user” refers to you as an individual utilizing the Site.

Before using the site, please carefully read the terms of service. You agree to be bound by the Terms of Service and Endocreators Payment Terms (found here, “Payment Terms”), which are incorporated herein by reference, on behalf of yourself, your employer, or any other entity (if applicable), by using the Site, creating an account, or clicking to accept or agree to the Terms of Service when this option is made available to you. Additionally, you attest that you have read and comprehended our privacy policy, which can be found here. You must not access or use the Site if you disagree with these Terms of Service or the Privacy Policy. Please refer to the relevant articles here for more specific rules governing use and activity on the site.

This site is offered and available to users who are at least 18 years of age and of legal age to form a binding contract. If you are under 18 and at least 13 years of age, you are only permitted to use the Site through an account owned by a parent or legal guardian with their appropriate permission. If you are under 13, you are not permitted to use the Site or the Endocreators services. By using the Site, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.

You can submit a request here to get in touch with our Customer Support team. English is the primary language used in these Terms of Service and all other content on the Site. This translation is provided by Endocreators solely for convenience.

The original language of these Terms of Service, as well as all other texts throughout the site, is English. Endocreators makes this translation available for convenience only. In case of conflicts between the original English version and any translation, the English version shall prevail.

 

1. Key Terms

Buyers are called Clients; they are users who purchase services on Endocreators.

Sellers are called Creators; they are users who sell creation services on Endocreators

Creation Offers are exclusive proposals that a Seller/Creator can create in response to specific requirements of a Buyer/Client.

Clients Orders are requests made by a Buyer/Client to receive a Custom creation from a Seller/Creator.

Creators® Extras are additional services offered on top of the Seller’s Creation for an additional price defined by the Seller/Creator.

Creators® Packages allow Sellers/Creators to offer services/creations in different formats and prices. Packages can include upgrades, which let Sellers/Creators price their service/creation for a basic price of over $5.

Creation® Page is where the Seller/Creator can describe their creation and the Creation’s terms, and the Buyer can purchase the Creation and create an order.

Creation® / Creations® / Services are propositions offered on Endocreators.

Creation Design is an original design for a Creation uploaded by a Seller/Creator through the Endocreators Creation Maker.

Creation Maker is the automated Creation design tool offered by Endocreators to users as further explained in these Terms of Service.

The order page is where Buyers/Clients and Sellers/Creators communicate with each other in connection with an ordered Gig.

Orders are the formal agreements between a Buyer/Client and Seller/Creator after a purchase was made from the Seller’s/Creator’s Creation Page.

Sellers or Creators are users who offer and perform services through Creations/Services or through the Creation Maker on Endocreators. There are two kinds of Creators or sellers

A Procreator is a Creator who offers  both paid consultation services and may proceed to offer a creation for a complete solution to Buyer/Client situations

A Solcreator is a Creator who offers only creation(s) solutions to a client or buyer

 

2. Overview (Main terms, in a nutshell)

• Only registered users may buy and sell on Endocreators. Registration is free. In registering for an account, you agree to provide us with accurate, complete, and updated information and must not create an account for fraudulent or misleading purposes. You are solely responsible for any activity on your account and for maintaining the confidentiality and security of your password. We are not liable for any acts or omissions by you in connection with your account.

• Creations on Endocreators may be offered at a base starting price of $5. Some Creations are offered at a base price of more than $5 as determined by the Seller/Creator.

•  Buyers/Clients pay Endocreators in advance to create an order (see Payment Terms).

•  Orders are purchased through the Order button found on a Seller’s/Creators Creation page or through a Creation Offer.

•  For fees and payment please read the Payment Terms.

•  Sellers/Creators must fulfill their orders and may not cancel orders regularly or without cause. Cancelling orders will affect Sellers’/Creator’s reputation and status.

• Sellers/Creators gains rank based on their performance and reputation. Advanced Ranks provide their owners with benefits, including offering services/creations for higher prices through Creation Extras or selling their Creation in multiples.

• Users (Clients and Creators) may not offer or accept payments using any method other than placing an order through endocreators.com.

•  When purchasing a Creation, Buyers/Clients are granted all rights for the delivered work, unless otherwise specified by the Seller/Creator on their Creation page. Note: some Creators charge additional payments (through Creation Extras) for commercial use licenses. See our “Ownership” and “Commercial  Use License” sections below for more information.

• Endocreators retains the right to use all published delivered works and Creation Designs for Endocreators marketing and promotion purposes.

• We care about your privacy. You can read our Privacy Policy here.

•  Users undertake to comply with Endocreators Community Standards, which are a set of behavior rules and guidelines applicable to the Endocreators and marketplace in addition to these Terms of Service, as updated from time to time.

•  Endocreators offers its users the Creation Maker, which allows certain Sellers/Creators to offer various original Creation designs for Buyers/Clients to adjust and customize per their own specific needs, using special automated design tools. Through the Creation Maker, Buyers/Clients purchase full commercial use rights to the Creation Design embedded with their brand name. 

3. Sellers/Creators

3.1 Basics

•  Sellers/Creators create Creations on Endocreators for Buyers to purchase their services/creations.

•  Sellers/Creators may also offer Creation Offers to Buyers/Clients in addition to their Creations.

•  Each Creation you sell and complete credits your account with a revenue equal to 80% of the purchase amount.

•  Endocreators accredits Sellers/Creators once an order is completed. See our “Orders” section below for a definition of a completed order.

•  For more information about receiving payments, fees, and taxes, see the Payment Terms.

•  Sellers/Creators may not promote their Creations or any Endocreators content via the Google Ads platform.

•  The Seller’s/Creator’s rating is calculated based on the order reviews posted by Buyers/Clients or Procreators Team Members (approved Endocreators Procreators). High ratings allow Sellers/Creators to obtain advanced Seller/Creator rank (see Ranks below). In certain cases, exceedingly low ratings may lead to the suspension of the Seller’s/Creator’s account. 
• For security concerns, Endocreators may temporarily suspend a Seller’s/Creator’s ability to withdraw revenue to prevent fraudulent or illicit activity. This may be due to security issues, improper behavior reported by other users, or associating multiple Endocreators accounts to a single withdrawal provider.

• Sellers/Creators are responsible for obtaining a general liability insurance policy with coverage amounts that are sufficient to cover all risks associated with the performance of their services. 

3.2 Creations®

• Sellers/Creators are allowed to post a select amount of active Creations based on their rank status.

• Creations for Sellers/Creators without a rank status.

• Creations for Rank 1 Sellers/Creators.

• Creations for Rank 2 Sellers/Creators.

• Creations for Top-Ranked Sellers/Creators.

• Creations created on Endocreators are user-generated content.

• Creations and/or users/clients may be removed by Endocreators from the Site for violations of these Terms of Service and/or our Community Standards, which may include (but are not limited to) the following violations and/or materials:

• Illegal or Fraudulent services

• Copyright Infringement, Trademark Infringement, and violation of a third party’s terms of service reported through our Intellectual Property Claims Policy found here

• Adult-oriented services, Pornographic, Inappropriate/Obscene

• Intentional copies of Creations

• Spam, nonsense, or violent or deceptive Creations

• Creations misleading to Buyers/Clients or others

• Reselling of regulated goods

• Offering to prepare academic works on behalf of Buyers/Clients

• Low-quality services/Creations or deliveries

• Promoting Endocreators and/or Endocreators Creations through activities that are prohibited by any laws, regulations, and/or third parties’ terms of service, as well as through any marketing activity that negatively affects our relationships with our users or partners.

• Creations that are removed for violations mentioned above, may result in the suspension of the Seller’s/Creator’s account.

• Creations that are removed for violations are not eligible to be restored or edited.

• Creations may be removed from our listings due to poor performance and/or user misconduct.

• Creations may include pre-approved website URLs contained within the Creation description and requirements box. Creations containing websites promoting content that violates Endocreator’s Terms of Service and/or our Community Standards will be removed.

• Creations are required to have an appropriate Creation image related to the service/creation offered. An option to upload two additional Creation images is available to all Sellers/Creators. Sellers/Creators must deliver the same quality of service/creation as shown on their Creation images. Recurring deliveries that don’t match the quality shown on the Creation images may lead to the Seller’s/Creator’s account losing Seller/Creator status or becoming permanently disabled.

• Creations may contain an approved Creation Video uploaded through the Creation management tools available on Endocreators.

• Statements on the creation page that undermine or circumvent these Terms of Service are prohibited.

• Eligible Creations in select categories may set up Creation Packages to offer their services/creation in structured formats with multiple price points for the selected Creation.

• Certain categories are available only to Procreators to create Creations. If you are not a Procreator, creating a Creation for services available to Procreators only may result in removal of your Creations. 

3.3 Creation® Extras

• Creation Extras are additional services offered on top of the Seller’s/Creator’s Creation for an additional price defined by the Seller/Creator (usually a procreator).

• Creation Extras may be removed for violations of our Terms of Service and/or our Community Standards. For specific terms, please see the Creations section above for a list of services/Creations that violate our Terms of Service. Creations are subject to being removed due to violations found in Creation Extras.

• The amount of Creation Extras, which can be offered, and the price for each Creation Extra, is based on your Seller/Creators Rank. More information surrounding your account’s eligibility for Creation Extras can be found here. 

• Services/Creations offered through Creation Extras must be related to the base service and part of the deliverables on the Order.

• Creation Extras may cover different categories of services/Creation that are components of a higher quality delivered service/client.

• Sellers/Creators have the option to extend the duration of an Order for each Creation Extra that is added to the Order. This is to cover the time needed to complete the extra service/creation.

 

3.4 Ranks

Helping Sellers/Creators utilize their knowledge, experiences, skills, or expertise is the main goal of Endocreators. Our goal is to provide high-achieving creators in a local environment with useful resources to help them expand their businesses globally, thereby glocalising development for every participant. Moreover, investing in self-promotion can help creators increase customer satisfaction. Additionally, Endocreators might give them new ranks, statuses, exclusive opportunities, perks, and tools if they deliver on time and maintain high quality and ratings.

• Endocreators Creators can gain account Ranks based on their activity, performance, and reputation. The advancement criteria can be found here.

• Advancements in Ranks are updated periodically by an automated system.

• The current Ranks a Creator can achieve are, Rank 1, 2, and 3.

• Creators who cannot maintain their high-quality service, experience a severe drop in ratings, or stop delivering on time risk losing their Creator status and the benefits that come with it. For example, late deliveries, warnings to the Creator’s account, and cancellations can cause a Creator to move to a different Rank.

• Advanced Ranks provide their owners with additional benefits, including offering Creations for higher prices through Creation Extras or selling their Creations in multiples.

3.5 Third Rank Sellers/Creators

• Third Rank Creators are chosen manually by Endocreators editors through an ongoing review process based on seniority, volume of sales, extremely high ratings, exceptional customer care, high order completion rate, and community leadership. Some categories’ eligibility criteria may require creators to complete mandatory tests or other verification steps. Top Rated Creators gain access to more extensive features than previous Ranks, including exclusive access to beta features and VIP support.

• Third Rank eligibility is constantly evaluated by Endocreators to ensure that the quality standards and expectations of the third Rank selection is kept. Endocreators retains the right to change a third RankLl Seller status in light of such evaluation. In addition, Third-Rank Creators who cannot maintain their high quality service through a severe drop in ratings, stop delivering on time, increased cancellation rate or violate our Terms of Service and/or our Community Standards, also risk losing their Third-Rank status and the benefits that come with it. 

3.6 Procreators

• Procreators are pre-vetted and hand-selected professionals vetted by Endocreators. Applying for Endocreators Procreators is open to everyone: new and existing Creators.

• Procreators’ eligibility is constantly evaluated by Endocreators to ensure that the quality standards and expectations of the Procreator selection are kept. Endocreators retains the right to change a Procreator’s status in light of such evaluation. In addition, Procreators who cannot maintain their high-quality service through a severe drop in ratings, stop delivering on time, increase their cancellation rate, or violate our Terms of Service also risk losing their Pro status and the benefits that come with it. 

3.7 Endocreators Consol

Endocreators Consol is an end-to-end solution for businesses with curated creators talent but under the strict organization and management of Endocreators. Creators on the Solcreators and Procreators catalogs are both Creators only and can be invited or communicated to participate on Endocreators Consol projects as needed. Endocreators reserves the right to remove Creators and Creations from the Endocreators Consol catalog. Please see Endocreators Consol Terms of Service here.

 

3.8 Seller/Creators Features

Endocreators Sellers/Creators have access to several exclusive features that help customize the way their services/creations can be offered.

Custom Offer

• Sellers/Creators can also send Custom Offers addressing specific requirements of a Buyer/Client.

• Creation Offers are defined by the Seller/Creator with the exact description of the service/creation, the price, and the time expected to deliver the service/creation.

• Creation Offers are sent from the conversation page.

• Services/creations provided through Creation Offers must not violate Endocreators’ Terms of Service and/or our Community Standards. 

Project Landmark

• Creator and Creation Offers above $100 may include up to six project Landmark, the minimum amount for each landmark is $50 and the project should include at least two landmarks. Each landmark is paid and delivered separately in accordance with each Creator or Creation Offer’s description and timelines.

• Once a landmark is delivered and marked as completed, Buyers/Clients may choose to either continue with the project or not; otherwise, if situations happen in previous landmarks, the Order under the next landmarks will not start.
• A landmark will be automatically marked as complete if no acceptance or request for modification is submitted within 8 days after being marked as delivered; however, in such a case, all further milestones will not start. 

Creation Subscription

• Sellers/Creators may offer Buyers/Clients a fixed-term subscription for a specific Creation (the “Creation Subscription”). During the Creation Subscription term, Seller/Creator will deliver one Order of the same Creation on a recurring basis, as agreed between the Seller/Creator and Buyer/Client.

• Buyers/Clients may cancel future Orders under the Creation Subscription before payment is made for such future Orders. In such case, the Orders under the Creation Subscription will be cancelled, as applicable. Once payment is made, Endocreators Order Cancelation policy under the Payment  Terms will apply.

• Sellers/Creators may cancel the Creation Subscription up to 10 days before the next consecutive Order. Otherwise, Endocreators Order Cancelation policy under the Payment Terms will apply. 

Reserved Media

• Eligible Creators have the option to use reserved Media.

• Sellers/Creators earn 20% of the fees charged directly for the standard license Reserved Media. Endocreators may offer Buyers/Clients to enhance their standard license after the purchase, and such an enhanced license does not entitle Sellers/Creators to an additional revenue share.

• Important: Each selected Reserved Media is authorized for a one time use. The selected media is integrated with the delivered work only and not as a stand-alone or for recurring use. Sellers/Creators are unauthorized to share the original image or video file with the Buyer/Client or any third party.. In addition, Reserved Media is governed by special license terms that are set forth by Creatorsmedia. Please see the full Reserved Media license terms here.

• Important: If you cancel an Order that includes Reserved Media, the license to that Reserved Media will be cancelled as well, and you will no longer be able to use such Reserved Media.

• Please note that Reserved Media is available for purchase by everyone and is not owned exclusively by the Buyer/Client.

• Users can contact Endocreators’ customer support department for assistance here. 

3.9 Shipping Physical Deliverables

Some of the services on Endocreators are delivered physically (arts and crafts, collectable items, etc.). For these types of Creations, Sellers/Creators must use Endocreators shipments provided by our subaccount on creatorsmart.net. After contacting our customer service, you will be able to define a shipping time and pricing factor for your Buyers/Clients order.

• Creations that include a shipping pricing factor must have physical deliverables sent to Buyers/Clients.

• Shipping costs added to a Creation only pertain to the cost Sellers/Creators require to ship physical items to Buyers/Clients.

• Important: Buyers/Clients who purchase Creations that require physical delivery will be asked to provide a shipping address.

• Sellers/Creators are responsible for all shipping arrangements once the Buyer/Client provides the shipping address.

• Endocreators only have a third-party arrangement in order to enhance quick and best delivery services to our Buyers/Clients. Enocreators does not handle or guarantee shipping, tracking, quality, and condition of items or their delivery and shall not be responsible or liable for any damages or other problems resulting from shipping.

• A tracking number is a great way to avoid disputes related to shipping. We require entering the tracking number if available on the Order Page when delivering your work.

 

4. Buyers/Clients

4.1 Basics

• You may not offer direct payments to Sellers/Creators using payment systems outside of the Endocreators platform.

• Endocreators retains the right to use all publicly published delivered works for Endocreators marketing and promotional purposes.

• Buyers/Clients may request a specific service from the Post a Request feature. Services/Creation requested on Endocreators must be allowed service/creation on Endocreators. Please click here for guidelines on approved services/Creations. Users should refrain from using the Post a Request feature for any purpose other than looking for services/creations on Endocreators. 

4.2 Purchasing

• Please refer to the Payment Terms for making payments through the Endocreators platform and to learn about fees and taxes.

• In addition, Buyers/Clients can request a creation order that addresses specific buyer/client requirements and receive a Creation Offer from Sellers/Creators through the site.

• You may not offer Sellers/Creators to pay or make payment using any method other than through the Endocreators.com site. In case you have been asked to use an alternative payment method, please report it immediately to Customer Support here. 

5. Orders

5.1 Basics

• Once payment is confirmed, your order will be created and given a unique Endocreators order number (#ECT).

• Sellers/Creators must deliver completed files and/or proof of work using the Deliver Work the button (located on the Order page) according to the service that was purchased and advertised on their Creation.

• The Deliver Work button may not be abused by Sellers/Creators to circumvent Order guidelines described in these Terms of Service. Using the “Deliver Work” button when an Order was not fulfilled may result in a cancellation of that Order after review, affect the Seller’s/Creator’s rating, and result in a warning to Seller/Creator.

• An Order is marked as Complete after it is marked as Delivered and then accepted by a Buyer/Client. An Order will be automatically marked as Complete if not accepted and no request for modification was submitted within 3 days after the Order was marked as Delivered. The Buyer/Client may extend such period by up to 5 additional days.

• We encourage our Buyers/Clients and Sellers/Creators to try and settle conflicts amongst themselves. If for any reason this fails after using the Resolution Center or if you encounter non-permitted usage on the Site, users can contact the Endocreators Customer Support department for assistance here. For more information about disputes, Order cancellations and refunds, please refer to the Payment Terms.

• Orders through the Creation Maker are completed once payment is made by the Buyer/Client.

• Once the seller or creator delivers a landmark and the buyer or client accepts it, the landmark (on an order with landmarks) is marked as complete. If no acceptance or modification request is received within 8 days of a landmark being marked as delivered, it will be automatically marked as complete; however, in that case, the order will be halted and no more landmarks will be started. Following the delivery and acceptance of a milestone, buyers/clients have the option to either terminate the order or proceed with the next milestone and pay for it. The order under the following landmarks will not begin if the buyer or client does not pay for the next landmark within ten days of the previous landmark being accepted. Please be aware that the currently ordered landmark will not be canceled if you decide to stop the future landmarks.

• Buyers/Clients may purchase a Creation Subscription, if available on the If a Creation Subscription is offered on the Seller’s/Creator’s Creation page, buyers/clients can buy it. As agreed upon by the Buyer/Client and Seller/Creator, a new Order of the same Creation will be automatically created on a regular basis during the Creation Subscription term. You give us permission to automatically deduct each order under the Creation Subscription from your Endocreators Balance or, if applicable, your saved payment method when you purchase a Creation Subscription. You will be asked to approve the payment before the next order if you don’t have any Endocreators Balance or a saved payment method. If a payment cannot be completed, the subscription will be cancelled. Buyer/Client may also cancel future Orders under the Creation Subscription before payment is made for such future Orders. Once payment is made, Endocreators Order Cancelation policy under the Payments  Terms will apply. Please note that Sellers/Creators can cancel future subscriptions under the Creation Subscription 10 days prior to the next consecutive Order.

• Certain Creations that offer local products or offerings might require Buyers/Clients and Sellers/Creators to meet in person in order for the Seller/Creator to perform the Creation. In such cases, users should note that Endocreators does not guarantee the behavior, conduct, safety, suitability, or ability of either Buyers/Clients or Sellers/Creators. Both Clients and Creators agree that the entire risk arising out of their meeting and/or their use or performance of local services/creations remains solely with them, and
• Endocreators has no responsibility or liability related to any local services/creations provided by the Sellers/Creators. In the event that the service/creation is performed on the Buyers’/Clients’ premises, Buyers/Clients are encouraged to maintain proper insurance policies to cover their liability as the premise owner.
• Endocreators’ Terms of Service and Community Standards remain applicable to Orders that are performed outside of the marketplace (including, among others, the below restrictions on unlawful use, inappropriate behavior & language, and targeted abuse). 

5.2 Handling Orders

• When a Buyer/Client orders a Creation, the Seller/Crreator is notified by email as well as notifications on the site while logged into the account.

• Sellers/Creators are required to meet the delivery time they specified when creating their Creations. Failing to do so will allow the Buyer/Client to cancel the Order when an Order is marked as late and may harm the Seller’s/Creator’s status.

• Sellers/Creators must send completed files and/or proof of work using the Deliver Completed Work button (located on the Order page) to mark the Order as Delivered.

•  Users are responsible for scanning all transferred files for viruses and malware. Endocreators will not be held responsible for any damages that might occur due to site usage or use of content or files transferred.

• Buyers/Clients may use the “Request Revisions” feature located on the Order Page while an Order is marked as Delivered if the delivered materials do not match the Seller’s/Creator’s description on their Creation page or they do not match the requirements sent to the Seller/Creator at the beginning of the order process. 

5.3 Reviews

• Reviews provided by Buyers/clients are an essential part of Endocreators rating system. To Learn more about the Endocreators review system, please see here.

• Reviews will not be removed unless there are clear violations of our Terms of Service and/or our Community Standards.

• To prevent any misuse of our review system, all reviews must come from legitimate and eligible orders, as further detailed here. Purchases arranged, determined to artificially enhance Seller/Creators ratings, or to abuse the Endocreators platform will result in a permanent suspension of all related accounts.

• Withholding the delivery of services/creation, files, or information required to complete the Creation offered with the intent to gain favorable reviews or additional offerings is prohibited. Sellers/Creators may not solicit the removal of feedback reviews from their Buyers/Clients through mutual cancellations.

• Once both Seller/Creator and Buyer/Client have completed their reviews, or the applicable review period has passed, all posted reviews are made public.

• Work Samples are added to a Seller’s/Creators Live Portfolio on their Creation page if the Buyer/Client chooses to publish the Work Sample while providing a public feedback review. Work Samples are the delivered images and videos sent to a Buyer/Client in a delivery message.

• Reviews are unavailable for orders made through the Creation Maker. 

6. Disputes and Cancellations

We encourage our Buyers/Clients and Sellers/Creators to try and settle conflicts amongst themselves. If for any reason this fails after using the Resolution Center or if you encounter non-permitted usage on the Site, users can contact the Endocreators Customer Support department for assistance here. For more information about disputes, order cancellations, and refunds please refer to the Payment Terms.

 

7. Endocreators Creation Maker

Using specialized automated design tools, Endocreators Creation Maker enables certain Sellers/Creators to provide a variety of unique designs (each, a “Design”) for Buyers/Clients to modify and customize in accordance with their own unique needs. Buyers/clients purchase a full commercial use license (explained in more detail below) for the creation design that incorporates their brand name through the Creation Maker.

Through a continuous review process, Endocreators editors manually select Endocreators Creation Maker Sellers/Creators based on a variety of criteria, including high order completion rates, seniority, sales volume, high ratings, outstanding customer service, and design quality. In order to identify and stop infringement or other unlawful content, we might employ automated systems that examine the uploaded designs of sellers or creators. We might also restrict the quantity of active designs that each seller or creator is able to provide.

By uploading a Design to Endocreators Creation Maker you represent and warrant that it is your original work, you exclusively own all rights to such design, and it does not infringe any third party rights. You further warrant that such design was never sold before to anyone and that you will not offer it for sale outside of Endocreators Creation Maker.

 

7.1 Editing Tool Commercial Use License

In addition to purchasing a Creation Design, Buyers/Creators can purchase a package that allows them to create one or more Creation Design variations with the Creation Maker’s editing tool. When purchasing a package that offers the Creation Maker’s editing tool, Endocreators grants Buyers/Clients a remunerable, non-exclusive, non-transferable, non-sublicensable, and personalized right to access the Creation Maker’s editing tool for the purpose of editing the Creation Design.

Please note that reselling the Creation Design and/or Creation Design variations is forbidden and may result in restrictions to your account. Endocreators reserves the right to provide you with generally available updates to the editing tool and/or terminate the offerings at its sole discretion.

 

7.2 Creation Design Commercial Use License

When an order through the Creation Maker is completed and subject to payment, the Seller/Creator grants the Buyer/Client a worldwide, royalty-free, non-sublicensable, non-exclusive, irrevocable license to use the Creation Design embedded with the Buyer’s/Client’s brand name for any purpose, except for any illegal, immoral, or defamatory purpose. There is no warranty, express or implied, with the grant of this license, including with respect to fitness for a particular purpose. Neither the Seller/Creator nor Endocreators will be liable for any claims, or incidental, consequential or other damages arising out of this license, the Creation Design or the Buyers/Clients use of the Creation Design. For the avoidance of doubt, the Seller/Creator retains all ownership rights to the Creation Design, and no ownership or copyrights are granted to the Buyer/Client.

8. 8. User Conduct and Protection

Endocreators enables people around the world to create, share, sell, and purchase nearly any offering they need at an unbeatable value. Services offered on Endocreators reflect the diversity of an expanding Creation economy. Members of the Endocreators community communicate and engage through orders, social media, and the Endocreators Community Forums.

Endocreators maintains a friendly, community-spirited, and professional environment. Users should keep to that spirit while participating in any activity or extensions of Endocreators. This section relates to the expected conduct users should adhere to while interacting with each other on Endocreators.

To report a violation of our Terms of Service and/or our Community Standards, user misconduct, or inquiries regarding your account, please contact our Customer Support team here.

8.1 Basics

• Requesting or providing Email addresses, IM usernames, telephone numbers or any other personal contact details to communicate outside of Endocreators in order to circumvent or abuse the Endocreators messaging system or Endocreators platform is not permitted.

•  Any necessary exchange of personal information required to continue a service may be exchanged within the Order Page and must be the official details and communication channels of both the Seller/Creator and Buyer/Client as provided by the Endocreators platform communication channels only. This must be strictly obeyed to protect both the the Clients and the Creators as voilation may attract disqualification of either or both users

• Endocreators does not provide any guarantee of the Rank of service offered to Buyers/Clients. You may use the dispute resolution tools provided to you in the Order Page.

• Endocreators does not provide protection for users who interact outside of the Endocreators platform.

• All information and file exchanges must be performed exclusively on the Endocreators platform. 

•  Rude, abusive, improper language, or violent messages will not be tolerated and may result in an account warning or the suspension/removal of your account.

• Endocreators is open to everyone. You undertake not to discriminate against any other user based on gender, race, age, religious affiliation, sexual orientation, or otherwise, and you acknowledge that such discrimination may result in the suspension/removal of your account.

•  Users may not submit proposals or solicit parties introduced through Endocreators to contract, engage with, or pay outside of Endocreators. 

8.2 Orders

• Users with the intention to defame competing Sellers/Creators by ordering from competing services will have their reviews removed or further account status-related actions determined by review by our Trust & Safety team.

•  Users are to refrain from spamming or soliciting previous Buyers/Clients or Sellers/Creators to pursue removing/modifying reviews or cancelling orders that do not align on Order Cancellation or Feedback policies. 

8.3 Creations

• Users may report Creations to Customer Support that may be in violation of Endocreators Terms of Service based on the reported Creation’s replicated similarity to pre-existing services (copycat Creations).

• Sellers/Creators warrant that any content included in their Creations shall be original work conceived by the Sellers/Creators and shall not infringe any third party rights, including, without limitation, copyrights, trademarks, or service marks. In the event that certain music or reserved-footage media are incorporated within the Creations, Sellers/Creators represent and warrant that they hold a valid license to use such music and/or footage and to include them in the Creations.

• Endocreators will respond to clear and complete notices of alleged copyright or trademark infringement. Our Intellectual Property claims procedures can be reviewed here.

 

8.4 Reporting Violations

If you come across any content that may violate our Terms of Service and/or our Community Standards, you should report it to us through the appropriate channels created to handle those issues as outlined in our Terms of Service. All cases are reviewed by our Trust & Safety team. To protect individual privacy, the results of the investigation are not shared. You can review our Privacy Policy for more information.

 

8.5 Violations

Users may receive a warning to their account for violations of our Terms of Service and/or our Community Standards or any user misconduct reported to our Trust and Safety team. A warning will be sent to the user’s email address and will be displayed for such user on the Site. Warnings do not limit account activity, but can lead to your account losing Seller/Creators statuses or becoming permanently disabled based on the severity of the violation.

Non-Permitted Usage

• Adult Services & Pornography – Endocreators does not allow any exchange of adult-oriented or pornographic materials and services.

•  Inappropriate Behavior & Language – Communication on Endocreators should be friendly, constructive, and professional. Endocreators condemns bullying, harassment, and hate speech towards others. We allow users a medium for which messages are exchanged between individuals, a system to rate orders, and the ability to engage on larger platforms such as our Community Forum and social media pages.

• Phishing and Spam – Members’ security is a top priority. Any attempts to publish or send malicious content with the intent to compromise another member’s account or computer environment are strictly prohibited. Please respect our members’ privacy by not contacting them with offers, questions, suggestions, or anything that is not directly related to their Creations or orders.

• Privacy & Identity – You may not publish or post other people’s private and confidential information. Any exchange of personal information required for the completion of a service must be provided in the Order Page. Sellers/Creators further confirm that whatever information they receive from the Buyer/Client, which is not public domain, shall not be used for any purpose whatsoever other than for the delivery of the work to the Buyer/Client. Any users who engage and communicate off of Endocreators will not be protected by our Terms of Service.

• Authentic Endocreators Profile – You may not create a false identity on Endocreators, misrepresent your identity, create an Endocreators profile for anyone other than yourself (a real person), or use or attempt to use another user’s account or information; Your profile information, including your description, skills, location, etc., must be accurate and complete and may not be misleading, illegal, offensive, or otherwise harmful. Endocreators reserves the right to require users to go through a verification process in order to use the Site (whether by using ID, phone, camera, etc.).

• Intellectual Property Claims – Endocreators will respond to clear and complete notices of alleged copyright or trademark infringement and/or violation of a third party’s terms of service. Our Intellectual Property claims procedures can be reviewed here.

• Fraud/Unlawful Use – You may not use Endocreators for any unlawful purposes or to conduct illegal activities.

Abuse and Spam

• Multiple Accounts – To prevent fraud and abuse, users are limited to one active Endocreators account and one active Endocreators Consol account for corporate clients/buyers. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead the Endocreators community will be disabled. Mass account creation may result in the disabling of all related accounts. Note: any violations of Endocreators’ Terms of Service and/or our Community Standards are cause for permanent suspension of all accounts.

• Targeted Abuse – We do not tolerate users who engage in targeted abuse or harassment towards other users on Endocreators. This includes creating multiple new accounts to harass members through our message or ordering system.

• Selling Accounts – You may not buy or sell Endocreators accounts. 

8.6 Proprietary Restrictions

The Site is fully owned by Endocreators and is safeguarded by copyright, trademark, and other intellectual property laws. This includes the Site’s general layout, look and feel, design, information, content, and other materials. Endocreators is the sole owner of the registered trademarks Endocreators®, Creators®, Creator®, Creation®, and Creations®. Users expressly consent to refrain from doing the following with respect to the Site or any part, component or extension of the Site (including its mobile applications): (i) copy, transfer, adapt, modify, distribute, transmit, display, create derivative works, publish or reproduce it, in any manner; (ii) reverse assemble, decompile, reverse engineer or otherwise attempt to derive its source code, underlying ideas, algorithms, structure or organization; (iii) remove any copyright notice, identification or any other proprietary notices; (iv) use automation software (bots), hacks, modifications (mods) or any other unauthorized third-party software designed to modify the Site; (v) attempt to gain unauthorized access to, interfere with, damage or disrupt the Site or the computer systems or networks connected to the Site; (vi) circumvent, remove, alter, deactivate, degrade or thwart any technological measure or content protections of the Site; (vii) use any robot, spider, crawlers or other automatic device, process, software or queries that intercepts, “mines,” scrapes or otherwise accesses the Site to monitor, extract, copy or collect information or data from or through the Site, or engage in any manual process to do the same, (viii) introduce any viruses, trojan horses, worms, logic bombs or other materials that are malicious or technologically harmful into our systems, (ix) Use the Site in any manner that could damage, disable, overburden, or impair the Site, or interfere with any other users’ enjoyment of the Site, or (x) access or use the Site in any way not expressly permitted by these Terms of Service. Users also agree not to permit or authorize anyone else to do any of the foregoing.

Except for the limited right to use the Site according to these Terms of Service, Endocreators owns all right, title, and interest in and to the Site (including any and all intellectual property rights therein), and you agree not to take any action(s) inconsistent with such ownership interests. We reserve all rights in connection with the Site and its content including, without limitation, the exclusive right to create derivative works.

 

8.7 Feedback Rights

You will be considered to have granted Endocreators exclusive, royalty-free, fully paid-up, perpetual, irrevocable, worldwide ownership rights in any comments, suggestions, or other feedback you submit about the Endocreators platform, the Site overall, or other Endocreators products or services (collectively, the “Feedback”). Endocreators is not obligated to take any user feedback into consideration.

 

8.8 Confidentiality

In order for Sellers/Creators to deliver the ordered work and to safeguard such confidential information from unauthorized use and disclosure, Buyers/Clients may need to divulge certain confidential information. Sellers/Creators should be aware of this. As a result, Sellers/Creators commit to handling any information they receive from Buyers/Clients as classified, extremely sensitive, and top secret. Without compromising the above’s generality, Sellers/Creators expressly commit to (i) keeping all such information strictly confidential; (ii) not sharing it with any outside parties; and (iii) not using it for any other purpose than for delivering the ordered work; and (vi) not to copy or reproduce any of the information without the Buyer’s/Client’s permission.

 

9. General Terms

• Endocreators reserves the right to put any account on hold or permanently disable accounts due to breach of these Terms of Service and/or our Community Standards, including low-quality services or deliveries, or due to any illegal or inappropriate use of the Site or services.

• Violation of Endocreators’ Terms of Service and/or our Community Standards may get your account disabled permanently.

•  Users with disabled accounts will not be able to sell or buy on Endocreators.

• Users who have violated our Terms of Service and/or our Community Standards and had their account disabled may contact our Customer Support team for more information surrounding the violation and status of the account.

• Users have the option to enable account security features to protect their account from any unauthorized usage.

• Users must be able to verify their account ownership through Customer Support by providing materials that prove ownership of that account.

• Disputes should be handled using Endocreators’ dispute resolution tools (‘Resolution Center’ on the home page or the order page) or by contacting Endocreators Customer Support.

• Endocreators may make changes to its Terms of Service from time to time. When these changes are made, Endocreators will make a new copy of the terms of service available on this page.

• You understand and agree that if you use Endocreators after the date on which the Terms of Service have changed, Endocreators will treat your use as acceptance of the updated Terms of Service. 

10. User-Generated Content

User Generated Content (“UGC“) refers to the content added by users as opposed to content created by the Site. All content uploaded to Endocreators by our users (Buyers/Clients and Sellers/Creators) is User Generated Content. 

The user who uploads or creates content is solely responsible for it and the consequences of using, disclosing, storing, or transmitting it. Endocreators does not verify that user-uploaded or user-created content is appropriate or does not violate copyright, trademarks, or other rights. You affirm and warrant that you have all the rights, licenses, consents, permissions, power, and/or authority required to use and/or upload content on the Endocreators platform, and that using such content on the Site does not and will not (a) violate any third party’s intellectual property, proprietary, privacy, data protection, or publicity rights; (b) violate any applicable local, state, federal, and international laws, regulations, and conventions; and/or (c) violate any of your or a third party’s policies and/or terms of service. We invite everyone to report violations together with proof of ownership as appropriate. Reported violating content may be removed or disabled.

Additionally, even if the sellers or creators are our Consol, Rank three, offer Promoted Creations, or otherwise, Endocreators has no control over the content, caliber, or rank of services they provide. Regarding the Creations, their delivery, any correspondence between buyers/clients and sellers/creators, and the Creation Designs made using the Creation Maker, we offer no warranties. We urge users to use our community, rating system, and common sense when selecting suitable creations and services.

When a seller or creator offers a service or creation on Endocreators, they guarantee that they have the necessary authorizations, rights, and/or licenses to offer, sell, or resell the service. The laws and terms of service of the advertising platform or relevant website must be followed by sellers and creators who advertise their creations or creation designs made by the creation maker online. Not doing so could lead to removal of the Creation or Creation Design from the Creation Maker, as applicable, and may lead to the suspension of Seller’s/Creator’s account.

Please refer to our Intellectual Property Claims Policy, which is an essential component of these Terms of Service, for specific terms pertaining to intellectual property rights as well as for reporting allegations of copyright infringement (DMCA notices) or trademark infringement. Please be aware that it is our policy to disable and/or terminate the accounts of repeat infringers under the proper circumstances.

 

11. Ownership

Ownership and restrictions: Unless otherwise specified on the Seller’s or Creator’s Creation page or description, the Buyer/Client is granted all intellectual property rights, including but not limited to copyright, in the work delivered from the Seller/Creator upon purchase of a creation on Endocreators. The Seller/Creator also forfeits all moral rights in the work. Consequently, the copyright in the delivered work is expressly assigned to the Buyer/Client by the Seller/Creator. Any intellectual property assignment or transfer to the buyer/client must be accompanied by full payment to the creator; if payment is canceled for any reason, the delivery cannot be used. For the avoidance of doubt, in custom-created work (such as art, design, report generation, etc.), the delivered work and its copyright will belong exclusively to the Buyer/Client. The Seller/Creator agrees that, upon delivery, it will transfer all rights, title, and interest in and to the delivered work to the Buyer/Client in accordance with these Terms of Service. Some Creators (including for custom created work) charge additional payments (through Creation Extras) for a Commercial Use License. This means that if you purchase the Creation for personal use, you will own all rights you require for such use, and will not need the Commercial Use License. In order to have broader rights that cover your business use, you must purchase a Commercial Use License through Creation Extra if you plan to use it for any kind of charge or other consideration, or for any purpose that is directly or indirectly related to any business or other endeavor meant to make money.

When Voice Over Creations is delivered and paid for, the buyer or client is purchasing basic rights, which entitles them to use the work indefinitely and for non-commercial purposes in exchange for a one-time payment. You must purchase the Commercial Rights (Buy-Out) through Creation Extra if you plan to use the voiceover to advertise a good or service (apart from paid marketing channels). You must purchase the Full Broadcast Rights (Buy-Out) through Creation Extra if you plan to use the voiceover in commercials on the internet, television, or radio. Please read the following for more details on the different kinds of buy-outs.

Additionally, users (both buyers/clients and sellers/creators) consent that, unless otherwise specified, Endocreators may use their freely created content—including text, images, videos, usernames, user photos, user videos, and any other information, including the display of completed work—for marketing and/or other purposes without payment.

11.1 Creation of Voice-Over Commercial Buy-Out

You are granted a perpetual, non-commercial, exclusive, non-transferable, worldwide license to use the voiceover you have purchased from the seller or creator. Any commercial use, such as advertisements on television, radio, and the internet, is not included in this.

In addition to the commercial rights, the Seller/Creator gives you a license for full broadcasting for the duration agreed upon with them (and, unless otherwise agreed, in perpetuity) if you purchase Full Broadcast Rights (Buy-Out) with your order. Full Broadcasting strictly excludes any unlawful, immoral, or defamatory purpose and includes internet, radio, and TV “paid channels” like (for instance), music/video streaming platforms, radio commercials, and television commercials.

The terms of service of Endocreators apply to this buy-out. The purchase of this delivery comes with no express or implied warranty, including one regarding its suitability for a given use. This license, the delivery, or your use of the delivery will not subject the Seller/Creator or Endocreators to any claims or incidental, consequential, or other damages.

11.2 Creation Commercial Use License

The Seller/Creator gives you a perpetual, exclusive, non-transferable, worldwide license to use the purchased delivery for Permitted Commercial Purposes by purchasing a “Commercial Use License” with your creation order. To be clear, all ownership rights remain with the Seller/Creator. Any use related to business, such as (for instance) advertising, promotion, web page development, or integration into software, products, or other business-related tools, is referred to as “permitted commercial purposes.” Any use that is unlawful, immoral, or defamatory is strictly prohibited. This License is subject to Endocreators’ Terms of Service. The purchase of this delivery comes with no express or implied warranty, including one regarding its suitability for a given use. This license, the delivery, or your use of the delivery will not subject the Seller/Creator or Endocreators to any claims or incidental, consequential, or other damages.

13. Disclaimer of Warranties

The site, its content, and any services or products obtained through the site are provided on an “as is” and “as available” basis, without any warranties of any kind, either explicit or implied. Neither the encoders nor any individual connected to the encoders make any representations or warranties regarding the completeness, security, reliability, quality, accuracy, or availability of the site.

Any warranties that cannot be limited or excluded under applicable law are unaffected by the aforementioned.

14. Machine Translation

Certain user-generated content on the Site has been translated for your convenience using translation software powered by AI. Reasonable efforts have been made to provide an accurate translation; however, no automated translation is perfect nor is it intended to replace human translators. Such translations are provided as a service to users of the Site and are provided “as is.” No warranty of any kind, either expressed or implied, is made as to the accuracy, reliability, or correctness of such translations made from English into any other language. Some user-generated content (such as images, videos, Flash, etc.) may not be accurately translated or translated at all due to the limitations of the translation software.

Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

The official text is the English version of the Site. Any discrepancies or differences created in the translation are not binding and have no legal effect for compliance or enforcement purposes. If any questions arise related to the accuracy of the information contained in the translated content, please refer to the English version of the content which is the official version.

15. Limitation on Liability

Endocreators, its affiliates, their licensees, service providers, employees, agents, officers, or directors will never be held legally liable for any damages that arise from your use or inability to use the website, any websites that link to it, any content on the website or those other websites, or any services or goods that you obtain through the site or those other websites. These damages could be direct, indirect, special, incidental, consequential, or punitive, and they could include, but not be limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether it was due to negligence, breach of contract, or other causes, even if they were predictable.

Any liability that cannot be limited or excluded under applicable law is unaffected by the aforementioned.

The term “Affiliate,” referred to herein, is an entity that, directly or indirectly, controls, or is under the control of, or is under common control with Endocreators, where control means having more than fifty percent (50%) voting stock or other ownership interest or the majority of voting rights of such entity.
